Referral Contest

Refer a Friend & Be Eligible To Win Quarterly Prizes and a Grand Prize of $10,000

In order to enter the “Referral Contest” (the “Contest”), with Roth Staffing Companies, L.P (the “Company” or “Roth Staffing”), you, acknowledge and agree to the rules, which consist of the following terms and conditions. If you do not agree, you are not eligible to participate in the Contest or to win. You agree that submission of an entry in the Contest constitutes your agreement to these terms and conditions. (You, your, and participant shall be used interchangeably herein.)

To be eligible to participate, you must make a “Qualified Referral” as defined below. The Contest shall have Quarterly Prizes of $1,000 each and a Grand Prize of $10,000. The Contest shall take place between January 27, 2017 and December 1, 2017 (the “Contest Term”). The Contest Term shall be divided into three (3) Quarters for each of the Quarterly Prizes, with Quarter 1 beginning January 27, 2017 through March 31, 2017, Quarter 2 beginning April 1, 2017 through June 30, 2017, and Quarter 3 beginning July 1, 2017 through September 30, 2017. The Contest Term shall apply for the Grand Prize. Employees of competitors of the Company and internal coworkers of the Company, and its subsidiaries, and their immediate family members are not eligible for the Contest or Direct Hire Referral Bonus.

A ”Qualified Referral” must meet all the following criteria:

1. The candidate must be submitted through the Referral Page onwww.rothstaffing.com; www.ultimatestaffing.com; www.ledgent.com; www.ledgenttech.com; www.adamsmartingroup.com, www.rothstaffing.com, and refer.rothstaffing.com. If all requested data fields are provided for the candidate, the referral submission shall be timed and date stamped (the “Referral Date”).

2. There must be a note recorded in the Company’s internal database that a Company employee interviewed the candidate within ninety (90) days after the Referral Date as a result of the referral. If an interview has not been conducted within ninety (90) days after the Referral Date, the referral will expire and will not constitute a Qualified Referral to be entered into the Contest. The Company reserves the right not to conduct an interview with a referred candidate for any reason in its sole discretion.

3. The candidate is not a Qualified Referral if the candidate already exists in the Company’s internal database and there has been “activity” associated with the candidate within twelve (12) months prior to the Referral Date. “Activity” means: the candidate has been interviewed, placed on a temporary assignment, been referred for a temporary assignment or direct placement position, been placed in a direct hire position, or the candidate has called in as available.

4. The candidate is not a Qualified Referral if the candidate is currently placed at a temporary assignment or is currently a direct placement through the Company, regardless of when the temporary assignment commenced or the candidate’s date of hire with a Company client.

Quarterly Prizes

Each referral of a Qualified Candidate during the applicable Quarter will be the equivalent of one (1) entry into the applicable Quarterly Prize drawing. For example, to be eligible for a Quarterly Prize, in Quarter 1, you must refer a Qualified Candidate during Quarter 1. The Company will randomly select three (3) winners in each of Quarter 1, Quarter 2, and Quarter 3. Each winner of a Quarterly Prize will receive $1,000. The winners will be selected on or about the second week after the end of each quarter and notified via telephone and/or email; provided, however, that these dates are not firm, and the Company reserves the right to change such dates.

Grand Prize

Each referral of a Qualified Candidate during the Contest Term will be the equivalent of one (1) entry into the Grand Prize drawing. The Company will randomly select one (1) winner, who will receive $10,000. The winner will be selected on or about December 13, 2017, and notified via telephone and/or email; provided, however, that these dates are not firm, and the Company reserves the right to change such dates. Winners of a Quarterly Prize remain eligible to be included in the Grand Prize drawing.

Except where prohibited by law, the winner(s) grant to the Company a non-exclusive, perpetual, royalty free license and right to disclose and use the winners’ names for purposes of advertising, and the winners agree that the Company may release such information to persons requesting the name of the winners of the contest. In the event that, for any reason whatsoever, a winner fails to respond, within thirty (30) days, to the email or telephonic notification of his/her winning, such winning entrant shall be deemed to have forfeited his/her claim to the applicable prize and the Company shall not have any obligations whatsoever to compensate the winning entrant in any way.

No purchase is necessary. The Contest is open to legal residents of the fifty (50) United States (and the District of Columbia) and who are 18 years and older. Void where prohibited. The Company may substitute prizes of equal or greater value for stated prizes. The winners are responsible for all federal, state and local taxes and all other costs and expenses not specifically stated, including but not limited to the cost of any upgrades or optional services and/or equipment. The Company may, in its sole discretion, require the winners to sign a certificate of eligibility and release. By entering the Contest, participants agree to waive any right to claim any ambiguity or error in the rules or the Contest itself and agree to be bound by these rules and by all decisions of the Company, which are binding and final. Failure to comply with these rules may result in disqualification from this Contest. In the event of any unanticipated occurrence that was not fully addressed by the rules, the Company may modify the rules to address such occurrence. Any changes to the rules will be posted on the site.

All information submitted as part of the Contest will be treated in accordance with the Company’s Privacy Policy, except as set forth herein. By submitting an entry to the Contest, each participant agrees to receive promotional material from the Company. Participants may opt-out from receiving the Company promotional materials at any time by notifying the Company in writing.

The Company is not responsible for telecommunications, network, electronic, technical or computer failures of any kind, inaccurate transcription of entry information, errors in any promotional or marketing materials, errors in these rules, any human or electronic error, including but not limited to, the administration of this Contest, or for entries that are stolen, misdirected, garbled, delayed by computer transmissions, lost, late or damaged. The Company reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest. All decisions by the Company in conducting any and all aspects of the contest are final and not subject to appeals. The Company SHALL BEAR NO LIABILITY WHATSOEVER IN CONNECTION WITH THE DEVELOPMENT OR ADMINISTRATION OF ANY CONTEST OR IN ANY OTHER RESPECT IN CONNECTION WITH THE PARTICIPANT’S PARTICIPATION IN ANY CONTEST. By participating in the Contest, each participant agrees to release and hold the Company and its officers, directors, shareholders, employees, partners, agents and contractors, harmless from any and all losses, damages, rights, claims and actions of any kind (including reasonable attorneys’ fees) in connection with or resulting from participation in the Contest and/or acceptance, possession, or use of any prize(s) including, without limitation, personal injuries, death, property damages and any claims by third parties or otherwise based on publicity rights, defamation, copyright trademark, invasion of privacy, or any other violations of law relating to participant’s participation in the Contest. Participant acknowledges that the Company is not responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize.

DIRECT HIRE REFERRAL BONUS:

If a Qualified Referral is placed in a direct hire role with a Company client during the Contest Term, the participant is eligible to receive a one-time, lump sum bonus for each placement, depending upon the Company division which placed the candidate, as set forth below:

For all direct hire placement referral bonuses to be payable, the candidate must be a Qualified Referral, the Qualified Referral must be hired directly by a Company client as a result of the referral within 180 days after the Qualified Referral’s initial interview by the Company, the Qualified Referral’s start date with the client must be within the Contest Term, and the Qualified Referral must be employed by the client for at least ninety (90) days after his/her start date. The participant is eligible to earn the bonus at the later date of all the following: (1) when all fees are received from the Company’s client; and (2) when the Qualified Referral has been employed by the client for at least ninety (90) days after his/her start date. Bonuses will be calculated and paid the month after the bonus has been earned on the Company’s regular bonus payment date or as soon as practicable as determined by the Company in its discretion. Individuals who are awarded bonuses remain eligible for applicable Quarterly Prizes and the Grand Prize.

All payments in the Contest, including without limitation, the Direct Hire Referral Bonus, are conditioned upon receipt of a W9 by the Company within thirty (30) days of notification of eligibility for payment.
